  46. In consideration of the mutual covenants and payments to be made
  47. pursuant to the agreement, and in further consideration of the

  50. compete with BUYER under the terms and conditions set forth

  103. after the substantial consummation of the sale, SELLER shall not
  104. solicit for employment or employ any of the employees as of the

  106. event that BUYER terminates any employee, SELLER may employ that
  107. individual, provided that such employment is not limited by any
  108. valid non-competition agreement either assigned by SELLER to
  109. BUYER or entered into to between BUYER and the employee.

  115. SELLER acknowledges that the restrictions contained herein are 
  116. reasonable and necessary to protect the business and interest
  117. which BUYER is acquiring pursuant to the above-referenced 
  118. purchase and sale agreement. It is further agreed that BUYER
  119. would suffer irreparable injury if the restriction is not
  120. obeyed, and that injunctive relief is appropriate for any
  121. violation of the same.
